When I was younger, maybe you could have "bought" me for a million—but you only ever offered 100,000. By the time you were willing to pay a million, my expectations had risen too, and suddenly I'd want 10 million, which was beyond your budget.
A buyer's offer changes over time, and so does the seller's mental expectation. A deal only happens when the buyer's offer exceeds the seller's minimum threshold.
If the seller's bottom line stays above what the market is willing to pay, no deal will ever happen.
